Rove Property Owner Referral Terms & Conditions

These Terms & Conditions (the "Agreement") govern participation in the Rove Travel Owner Referral Program (the "Program") offered by Rove Ventures Inc., a Delaware corporation ("Rove"). Capitalized terms not defined in‑line have the meanings set forth in Section 8 (Definitions).

1. Eligibility & Enrollment

1.1 Eligible Owners

Only Eligible Owners may participate in the Program. Eligibility is determined solely by Rove and may be rescinded if an owner ceases to satisfy the criteria in Section 8.

1.2 Submitting a Referral

A Referral must be submitted in writing (email sufficient) through Rove's designated referral form or to an authorized Rove representative and must contain at minimum (a) the full legal name and contact information of the Referred Owner, and (b) the physical address of the prospective Referred Property. Rove will confirm receipt in writing; absent such confirmation, no Referral shall be deemed received.

1.3 Exclusivity of Referral

Only the first Eligible Owner to submit a Referral for a given Referred Owner shall be eligible for the Referral Benefit. Duplicate referrals are void. Self‑referrals and referrals of entities in which the Referring Owner holds any direct or indirect ownership interest are expressly prohibited.

2. Referral Benefit

2.1 Rate of Benefit

Service Tier of Referring OwnerManagement Fee Reduction per Qualified Referred Property:

  • Rove+ Two percent (2.0%)
  • RoveLite One percent (1.0%)

2.2 Commencement & Duration

The Referral Benefit for a Qualified Referred Property begins on the first day of the calendar month following the First Qualifying Booking (defined below) and continues for so long as the Qualified Referred Property remains Active (as defined in Section 3.1) under a Management Agreement with Rove.

2.3 Stacking and Cap

Referral Benefits are cumulative and apply on an additive basis; however, under no circumstance shall the aggregate Management Fee reduction for a Referring Owner exceed the then‑applicable base Management Fee. No negative fees or cash payments shall be owed or paid by Rove.

3. Qualification Criteria

3.1 Active Status

A Referred Property qualifies for, and continues to qualify for, the Referral Benefit only if it meets all of the following (a "Qualified Referred Property"):

  1. Acceptance & Onboarding. Rove has accepted the property into its portfolio and completed onboarding.
  2. Availability. The property is made available for guest bookings for at least eight (8) months during each calendar year; provided that (i) properties located in the Hamptons must be available for the full Summer Season, and (ii) any period of Force Majeure approved by Rove in writing shall be excluded in calculating availability.
  3. First Qualifying Booking. At least one (1) paid guest reservation has been consummated through Rove following onboarding.

3.2 Loss of Qualification

A Qualified Referred Property ceases to qualify immediately upon: (a) suspension or termination of the applicable Management Agreement; (b) removal of the property from Rove’s platform; or (c) failure to meet the Availability requirement in Section 3.1(2).

Upon loss of qualification, the corresponding Referral Benefit shall terminate as of the first day of the next billing cycle.

4. Program Administration

4.1 Statement Credits

Referral Benefits are applied as statement credits against the Referring Owner’s monthly Management Fee. Credits are not transferrable, have no cash value, and may not be exchanged, sold, or assigned.

4.2 Taxes

Referring Owners are solely responsible for any federal, state, or local taxes arising from the receipt or use of Referral Benefits.

4.3 Records & Audit

Rove’s records shall be conclusive as to participation and benefits earned. Rove may audit compliance with these Terms upon reasonable notice.

5. Modification & Termination

Rove may amend, suspend, or terminate the Program—or any owner’s participation therein—at any time upon thirty (30) days’ advance written notice, provided that: (a) Referral Benefits already credited shall be honored through the end of the then‑current billing cycle, and (b) any amendment that materially diminishes an existing Referral Benefit shall not apply retroactively.

6. Representations; Indemnity

Each Referring Owner represents and warrants that (a) the Referral is truthful and accurate, and (b) the Referring Owner has complied with all applicable laws and regulations, including without limitation any anti‑spam or data‑privacy laws, in submitting the Referral. Referring Owner agrees to indemnify and hold harmless Rove from any third‑party claims arising out of or related to a breach of the foregoing warranties.

7. Miscellaneous

  • No Agency. Participation in the Program does not create any partnership, joint‑venture, or agency relationship between the parties.
  • Entire Agreement. This Agreement constitutes the entire understanding of the parties with respect to the Program and supersedes all prior or contemporaneous communications.
  • Governing Law. This Agreement is governed by and shall be construed in accordance with the laws of the State of Delaware, without regard to its conflict‑of‑laws principles.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver. No failure or delay by Rove in exercising any right shall operate as a waiver thereof.

8. Definitions

  • Effective Date. The date on which a Referring Owner submits a Referral pursuant to Section 1.2.
  • Eligible Owner. An individual or entity that (a) owns a property under an active, fully‑executed Property Management Agreement with Rove (a "Management Agreement"), (b) is in good standing with no outstanding fees or defaults, and (c) is enrolled in either the Rove+ or RoveLite service tier.
  • Referring Owner. An Eligible Owner who submits a Referral under this Program.
  • Referred Owner. A natural person or entity that (a) is not, and has not within the preceding twelve (12) months been, party to a Management Agreement with Rove or owned any interest in a property currently managed by Rove, and (b) enters into a new Management Agreement with Rove as a direct result of a Referral.ReferralA bona‑fide introduction of a Referred Owner to Rove made in strict accordance with Section 1.2.Referred PropertyA residential property owned (in whole or in part) by the Referred Owner, accepted by Rove in its sole discretion, and onboarded pursuant to Rove's standard procedures.Referral BenefitThe Management Fee reduction described in Section 2.1.
  • Summer Season (Hamptons)The period beginning on the Friday immediately preceding Memorial Day and ending on Labor Day of the same calendar year.

By submitting a Referral on or after the Effective Date, the Referring Owner acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions.
