Rove Travel Price-Match Program
Program Terms: Draft for Internal Review
Master ToS Amendments + Rove Travel Promotional Program Terms
Part 1: Amendments to the Rove Master Terms of Service
Section 4.9 (Guest Terms): Promotional Programs; Rove Travel Price-Match Program
4.9 Promotional Programs; Rove Travel Price-Match Program. From time to time, Rove offers promotional programs, loyalty programs, referral programs, credit programs, and similar promotions (collectively, "Promotional Programs"), including the Rove Travel Price-Match Program (the "Program"). Promotional Programs are governed by the Rove Travel Promotional Program Terms available at rovetravel.com/promotional-programs, as updated from time to time (the "Promotional Program Terms"), which are hereby incorporated into these Terms by reference. If the Promotional Program Terms conflict with these Terms, these Terms shall control, except that nothing in these Terms reduces a benefit the Promotional Program Terms grant to a Guest.
4.9.1 How the Program Works. The Program provides a price-match remedy for a qualifying difference between the Booking Site and a Covered Channel for an enrolled stay, calculated under the Promotional Program Terms. Rove supports the Program through Host rate-parity obligations under Section 13.7, its pricing and distribution connections where enabled, and the monitoring and pricing request rights in Section 13.8. Channel service fees may be charged to Guests or deducted from Host payouts and may be calculated on different bases. A lower service-fee percentage alone does not establish a lower total Guest price. Program comparisons use total prices, including mandatory fees and taxes, at the same comparison time. Booking Site prices are compared at the price for payment by bank transfer or debit card, which carries no processing fee. If a Guest elects to pay by credit card, the credit card processing fee is an optional payment charge, displayed before payment, that the Guest can avoid by paying by bank transfer or debit card; it is excluded from Program comparisons and is not reimbursed under the Program.
4.9.2 When Another Channel May Be Lower. Another channel may display a lower total price for the same stay because of a promotion or discount funded by that channel, a delay in syncing prices between systems, a Host action that breaches Section 13.7, or another cause. If you find a lower total price on a Covered Channel that qualifies under the Promotional Program Terms, Rove will provide the Price-Match Refund calculated there. The Program does not reimburse a general price decrease that also occurred on the Booking Site.
4.9.3 Remedy. The price match set out in the Promotional Program Terms is the sole and exclusive remedy offered by Rove under these terms and conditions for any Program-related claim that a lower total price was available on another Covered Channel, provided, however, that nothing in this Section 4.9 limits any right you have under applicable law that cannot be waived by contract.
Section 13 (Host Terms): Price-Match Program Obligations
Sections 13.7 through 13.9 are added after Section 13.6. These provisions sit in the master ToS, not the Promotional Program Terms, so Host obligations cannot change through a promotional update.
13.7 Price-Match Program; Published Rates, and Enrollment. The Program applies by default to Listings unless the Host opts a Listing out by written notice to support@rovetravel.com. Opting out does not by itself delist the Property from the Booking Site. An opted-out Listing may remain bookable through a Rove-approved arrangement without the Andora pricing and distribution connection, including a supported calendar-only connection. Rove will acknowledge and process opt-out requests within five (5) business days of receipt and confirm the effective time and connection arrangement. Opt-out applies to Reservations booked after that effective time. Reservations booked while the Listing was enrolled retain their Program benefits. Host shall independently determine in its sole discretion the rate and Host-imposed fees for Host’s Property, except to the extent Host has delegated pricing authority to Rove under a separate management or revenue management agreement.For Listings on the Platform before the Program launches, Rove will give Host at least thirty (30) days’ notice before enrollment takes effect, during which Host may opt out under this Section 13.7. For each enrolled Listing, Host represents, warrants, and covenants that, at all times during enrollment:
(a) the nightly rate published on the Booking Site will be equal to or lower than the nightly rate published for the same Property, dates, and occupancy on any Rove-Distributed OTA on which the Listing appears;
(b) Host-imposed fees published on the Booking Site (including cleaning, pet, resort, and other mandatory Host charges) will be equal to or lower than the equivalent Host-imposed fees published on any Rove-Distributed OTA for the same stay;
(c) Host will not publish a lower nightly rate or lower Host-imposed fees on any Rove-Distributed OTA, whether directly, through a channel manager, through a Host-funded promotion, discount, coupon, or code, or otherwise; and
(d) Host will maintain these obligations continuously until an opt-out is processed. These obligations do not extend to promotions, discounts, coupons, or loyalty benefits funded by a Rove-Distributed OTA rather than by the Host.
13.7.1 OTA Contract Compliance; Host Certification and Opt-Out. Nothing in Section 13.7 requires Host to breach any contract with any Rove-Distributed OTA. Neither party is required by the Program to breach an applicable third-party agreement. Each party remains responsible for its own contractual obligations. The parties will address an identified conflict without directing Host to restrict lawful discounting; accrued Guest benefits remain payable. At enrollment and on Rove’s reasonable request, Host will certify that its participation in the Program for each enrolled Listing does not violate any rate parity, most-favored-nation, non-discrimination, or other obligation in any Rove-Distributed OTA contract binding on Host. If Host determines that continued participation for any Listing would breach any such contract, Host must promptly opt that Listing out under Section 13.7. Reservations booked before Rove processes an opt-out remain subject to the Program. Host is solely responsible for its compliance with each Rove-Distributed OTA’s terms, and Rove disclaims liability for any dispute, penalty, suspension, or termination arising from Host’s participation in the Program in relation to any Rove-Distributed OTA. Host will indemnify the Rove Indemnitees under Section 43 for any Claim by a Rove-Distributed OTA against Rove arising from Host’s participation in the Program.
13.7.2 Host Self-Audit; Notification; Response to Claims. For each enrolled Listing, Host will:
(a) review its own published pricing across each Rove-Distributed OTA on which the Listing appears at least monthly to confirm compliance with Section 13.7, keep dated records of that review for the period in Section 13.8(c), and provide relevant records on Rove’s reasonable request; and
(b) when Rove receives a Price-Match Claim for Host’s Listing, respond to Rove’s inquiry within three (3) business days with a substantive response and reasonable supporting information (for example, screenshots, channel manager logs, or promotion records).
If Host does not respond within that period, Host is deemed to acknowledge that the published price difference resulted from Host’s breach of Section 13.7 for purposes of that claim, without prejudice to Rove’s other rights. Host’s response, or lack of response, never delays or reduces a Guest’s Price-Match Refund. Repeated or willful failure to perform this Section 13.7.2 is a material breach.
13.8 Monitoring; Pricing Requests; Records. During enrollment, Host irrevocably authorizes Rove to: (a) monitor Host’s published pricing and availability across the Rove-Distributed OTAs using automated and manual methods Rove selects, which may change over time as Rove improves its systems;
(b) request that Host lower the published nightly rate and Host-imposed fees on the Booking Site,to match the lowest equivalent rate and fees identified on any Covered Channel for the same stay , whether the lower rate is identified through monitoring, a Price-Match Claim, a Host report under Section 13.7.2, or any other source, and if Host does not match the lowest rate and fees within forty-eight (48) hours after Rove’s request, Rove may remove the Listing from the Program, and if Host repeatedly declines to match, Rove may delist the Listing on the Booking Site or any Rove-Distributed OTA; Reservations already booked will be honored;
(c) retain records of Booking Site pricing history, pricing observations,Price-Match Claims and decisions, Price-Match Refunds, Listing enrollment and opt-out effective times, each Reservation’s Program eligibility and applicable terms at booking, and Host reports and responses under Section 13.7.2 for at least four (4) years; and
(d) share such records with Host on reasonable request. Rove’s Booking Site pricing history is the system of record for determining the Booking Site price at any time for Program purposes.
Host’s obligations under Sections 13.7 and 13.7.2 apply regardless of the methods or frequency of Rove’s monitoring. Where Host has delegated pricing authority to Rove for a Listing under a separate management or revenue management agreement, Rove may adjust that Listing’s pricing as permitted by that agreement, and nothing in this Section 13.8 limits that authority.[12] [BZ13]
13.9 Program Cost Allocation; Enforcement. Price-Match Refunds are allocated as follows.
(a) Host responsibility: Host bears each Price-Match Refund issued for a Reservation at Host’s Listing, and authorizes Rove to offset the amount against Host’s Payouts, where the lower price resulted from (i) Host’s breach of Section 13.7, including Host-funded discounts, Host coupons, or Host pricing changes made outside the Platform; (ii) a promotion, discount, coupon, or loyalty benefit funded by a Rove-Distributed OTA; (iii) a sync delay, meaning a delay in a Covered Channel displaying Booking Site pricing that is attributable to the Covered Channel’s systems or to ordinary propagation time between systems; or (iv) any other cause except Rove Error. Host acknowledges that promotions funded by a Rove-Distributed OTA are not a breach of Section 13.7, but that Host bears the resulting Price-Match Refunds because Host controls its participation in each Rove-Distributed OTA’s promotional programs.
(b) Rove Error: Rove bears a Price-Match Refund where the lower price resulted solely from Rove Error, meaning (i) a defect in the Platform that caused Booking Site pricing to be transmitted to a Covered Channel incorrectly, or (ii) an incorrect price set by Rove personnel or Rove tools other than at Host’s instruction. Rove determines the cause of each lower price based on its records and any Host response under Section 13.7.2, and will share the basis for that determination with Host on request. If Rove reasonably determines, in good faith, that Host has breached Section 13.7, whether or not a Price-Match Claim has been made, Rove may, in addition to other remedies: (i) suspend the Listing from the Program; (ii) delist the Listing on the Booking Site or any Rove-Distributed OTA; (iii) offset Payouts to recover Price-Match Refunds attributable to the breach, plus reasonable documented administrative costs; (iv) end Host’s participation in the Program for the affected Listing or all Listings; and (v) exercise any other remedy under these Terms or applicable law.

These terms apply to promotions offered by Rove Travel, including the Rove Travel Price-Match Program. The Rove Terms of Service and Privacy Policy also apply (together with these terms, the "Agreement"). Capitalized terms not defined here have the meanings in the Rove Terms of Service. If these terms conflict with the Rove Terms of Service, the Rove Terms of Service control, except that they do not reduce any benefit these terms grant to a Guest.
1. Rove Travel Price-Match Program
1.1 What the Program Is. The Rove Travel Price-Match Program (the "Program") provides a price-match benefit for eligible direct Reservations at enrolled Listings. The Program is a limited price-match benefit, not a promise that the Booking Site always offers the lowest price or a refund of every decrease from the price you paid. Comparisons are subject to the conditions and exclusions in Sections 1.5 and 1.6. Prices used for Program comparisons include all mandatory fees and taxes but exclude credit card processing fees. If a Covered Channel has a qualifying lower total price, the Program reimburses the eligible difference between that channel and the Booking Site at the same comparison time, as calculated in Section 1.7. It does not reprice your Reservation for general price decreases after booking. Host parity obligations apply to the Rove-Distributed OTAs specified in Section 13.7 of the Rove Terms of Service; Covered Channels used for Guest claims are listed in Section 1.3 below. The Booking Site price used for the Program is the price for payment by bank transfer or debit card. It does not include the credit card processing fee charged if you choose to pay by credit card.
1.2 Eligible Reservations. Every Reservation booked directly on the Booking Site for an enrolled Listing located in the United States is automatically enrolled, at no cost and with no sign-up. Reservations booked through a Channel, Reservations for Properties outside the United States, and Reservations for Listings that were not enrolled when booked are not eligible. An opted-out Listing may remain bookable on the Booking Site without Program coverage. The Booking Site will identify whether the stay is enrolled before booking, and the booking confirmation will record that status. Rove will retain the Reservation’s enrollment status and Program terms in effect at booking. A later Listing opt-out does not remove benefits from an enrolled Reservation. Modified Reservations remain eligible, and claims are evaluated against the Reservation as modified.
1.3 Covered Channels. The "Covered Channels" are: (a) Airbnb; (b) Vrbo; (c) Booking.com; (d) Marriott Homes & Villas; (e) Expedia; (f) Hotels.com; (g) Google Vacation Rentals, for rates shown there that link to a bookable offer; and (h) the Host’s own direct booking website, if any. Rove may add Covered Channels at any time. Rove will remove a Covered Channel only on thirty (30) days’ notice under Section 2.6, and removal does not affect Reservations already booked.
1.4 When You Can Claim. You may submit a claim (a "Price-Match Claim") using a Comparable Rate captured before you confirm your Reservation or within seventy-two (72) hours after you confirm it. You must have confirmed the same eligible stay directly on the Booking Site before submitting a claim, and must submit within seventy-two (72) hours after you confirm your Reservation. Evidence captured before booking must have been captured no more than seventy-two (72) hours before you confirm your Reservation. A rate that was bookable when captured does not become ineligible merely because your Reservation later blocked the dates. You may submit more than one claim for the same Reservation, but prior Price-Match Refunds are accounted for under Section 1.7 so the same price difference is not reimbursed more than once.
1.5 Comparable Rate. A "Comparable Rate" is a rate on a Covered Channel that meets all of these conditions:
(a) same Property, or the same unit or room type where a Listing offers more than one;
(b) same check-in date, checkout date, and number of guests;
(c) same or more flexible cancellation policy than your Reservation;
(d) available to the general public, including rates available to anyone who creates a free account, free or entry-level loyalty tier rates, and promotional codes or discounts advertised to the general public;
(e) a total price, including all mandatory fees and taxes, lower than the total paid for your Reservation before Price-Match Refunds;
(f) a total price lower than the Booking Site’s total for the same stay and comparable terms at the time the competing rate was captured, as established by Rove’s dated pricing records; and
(g) actually available to book for that stay when captured, rather than only an undated advertisement or a price for unavailable inventory.
A rate captured after booking is not compared with an earlier Booking Site price to establish a channel difference. If your Reservation has blocked the dates, Rove may reconstruct its then-applicable total from dated pricing records without representing that the Property remained available to other guests. Rates in a currency other than U.S. dollars are converted using a published exchange rate for the date the evidence was captured. A general price decrease that applies equally on the Booking Site does not create a qualifying difference. For conditions (e) and (f), the total paid for your Reservation and the Booking Site’s total are each measured at the bank transfer or debit card price, excluding any credit card processing fee, regardless of the payment method you chose.
1.6 What Does Not Qualify. The following do not qualify as Comparable Rates:
(a) rates available only through a paid membership or subscription, or a loyalty tier above the free or entry-level;
(b) corporate, government, military, AAA, AARP, or other negotiated or closed group rates;
(c) private codes, referral credits, gift cards, or discounts offered only to a specific individual;
(d) package rates that bundle lodging with flights, cars, activities, or other services;
(e) group bookings of five (5) or more units;
(f) rates on opaque channels where the property is not identified until after purchase, name-your-own-price channels, or rates available only by phone; and
(g) obvious pricing errors, meaning a rate so far below market that a reasonable person would recognize it as a mistake.
1.7 Your Refund. For each valid comparison, the qualifying amount is the smaller of (a) the positive difference between the Booking Site total and the Comparable Rate total at the same comparison time, and (b) the positive difference between the total paid for your Reservation before Price-Match Refunds and the Comparable Rate total. The total entitlement for a Reservation is the largest qualifying amount established by a valid comparison, not the sum of overlapping claims. Any additional Price-Match Refund equals that entitlement less Price-Match Refunds already issued for the Reservation, and cannot be less than zero. Total Price-Match Refunds cannot exceed the total paid for the Reservation. For example, if you originally paid $6,000 and a valid later comparison shows the Booking Site at $5,000 and a Covered Channel at $4,900, the qualifying refund is $100. The general $1,000 decrease in the Booking Site price is excluded. Rove will issue the approved amount as a cash refund to your original payment method (a "Price-Match Refund"), not as Rove Travel credit. No separate request for cash is required, and no future booking or purchase is required to receive the refund. If the original payment method cannot accept the refund, Rove will arrange an alternative monetary payment to you without a fee; Rove will not substitute travel credit. Credit card processing fees are not reimbursed under the Program, and each Price-Match Refund is calculated without them.
1.8 How to Claim; How Rove Decides. Email support@rovetravel.com or use a claim form on the Platform if available. Include your Reservation confirmation number and screenshots or a saved quote of the Comparable Rate showing the channel, Property, dates, number of guests, total price, cancellation policy, and capture time, together with evidence that the stay was bookable at that time. More than one image may be used to show the required information. A link helps but is not required. If part of this information is missing, Rove will ask you for it before deciding. Rove decides each claim in good faith based on your evidence and Rove’s pricing records. Rove does not require the Comparable Rate to remain available when the claim is submitted or reviewed, including where your Reservation has blocked the dates, provided it was bookable when captured. Rove resolves reasonable doubts about your claim in your favor. Guest eligibility and the refund calculation are determined separately from the allocation of the cost between Rove and the Host; a pending Host inquiry or allocation dispute does not delay or reduce an approved Guest benefit. Rove aims to decide claims within five (5) business days and to issue approved refunds promptly afterward, but a response in this timeline is not guaranteed. If Rove denies a claim in whole or in part, Rove will tell you in writing which condition was not met. You may ask for one further review within fourteen (14) days of a denial by replying with any additional information, and you keep all other rights under Sections 32, 44, and 45 of the Rove Terms of Service. Rove may deny a claim it reasonably determines is fraudulent, based on altered or fabricated evidence, submitted by an automated tool or claim service, or part of a coordinated effort to exploit the Program, and will state that reason in writing.
1.9 Chargebacks. If you dispute the charge for your Reservation with your card issuer and receive a refund of the amounts already covered by a Price-Match Refund, Rove may offset the Price-Match Refund against the chargeback so that you are not refunded twice for the same amount. Rove will not otherwise debit your payment method to recover a Price-Match Refund.
1.10 Force Majeure. During a Force Majeure Event under Section 47 of the Rove Terms of Service that disrupts pricing systems in an affected area, Rove may pause new Price-Match Claims for affected Properties. Any pause extends the claim deadline in Section 1.4 by the length of the pause, and claims submitted before the pause are honored.
1.11 Changes to the Program. Rove may change or end the Program by giving at least thirty (30) days’ notice under Section 2.6. Changes and termination never apply to Reservations booked before the change takes effect; those Reservations keep the Program terms in effect when they were booked. Rove may remove a specific Host or Listing from the Program for future Reservations under Section 13 of the Rove Terms of Service. Rove may remove a specific Guest from future Program participation only for fraud or abuse described in Section 1.8, and will tell that Guest in writing.
2. General Provisions for All Promotional Programs
2.1 Nature of Promotional Credits. Rove Travel credits issued as promotions (for example, referral or loyalty credits) have no cash value, are not stored value, and cannot be sold or transferred, except where applicable law requires otherwise. Price-Match Refunds are monetary refunds to the original payment method governed exclusively by Section 1.7, not promotional credits, and are not subject to credit expiration, redemption, transfer, or non-aggregation restrictions.
2.2 Currency. Refunds and credits are issued in U.S. dollars.
2.4 Enforcement. Rove may deny participation or suspend accounts for fraud, tampering, or abuse of any Promotional Program, and may take any action required by law or by a court or government authority. Rove will give written notice of any such action affecting a Guest’s Price-Match Claim.
2.5 Decisions. Rove makes Promotional Program decisions reasonably, in good faith, and based on its records, subject to the review process in Section 1.8 and the participant’s rights under the Rove Terms of Service.
2.6 Changes to These Terms. Rove will post changes at rovetravel.com/promotional-programs and give at least thirty (30) days’ notice of material changes before they take effect. Changes that reduce a Guest’s benefits never apply to Reservations booked before the effective date.
2.7 Liability. The limitations of liability in the Rove Terms of Service apply to the Promotional Programs, except that they never reduce a Price-Match Refund owed under Section 1.7.
Part 3: Marketing Copy and Point of Sale Disclosure
Proposed claims for review
• "Rove Travel Price-Match Program"
• "Book through the Rove Travel Price-Match Program for a cash refund of a qualifying same-time channel price difference on participating stays. Conditions and exclusions apply; credit card processing fees and general price drops are excluded."
• "Price-match protection on participating Rove stays."
• "Compare total prices for the same stay and terms, including mandatory fees and taxes. Service-fee percentages alone do not establish which booking costs less."
• "Book a participating stay directly on Rove to receive the Rove Travel Price-Match Program benefit."
• "Found a qualifying same-time channel price difference? We’ll issue a cash refund of the eligible amount under the Program terms. General price drops and credit card processing fees are excluded."
Avoid
• "Guarantee," "guaranteed," or "warranty"
• "Always," "never beaten," "cheapest anywhere"
• Claims that Rove offers the "best price," "lowest," or "lowest cost" based solely on this limited Program, or unsupported savings comparisons based on channel fee percentages
• Implying coverage for OTA bookings, properties outside the US, unenrolled properties, or general price drops after booking; implying identical guest-paid fees across channels; or promising reimbursement of the full decline from the original booking price.
• Implying the Program price includes credit card processing fees, or that a credit card total is the lowest cost; Program comparisons use the bank transfer or debit card price.
Point of sale disclosure (booking page near price, and confirmation email)[29]
Enrolled stays: "Rove Travel Price-Match Program: this stay is enrolled. If you document a qualifying lower total price for the same stay on Airbnb, Vrbo, Booking.com, Marriott Homes & Villas, Expedia, Hotels.com, Google Vacation Rentals, or the host’s own website, submit your evidence to support@rovetravel.com within 72 hours after booking. Evidence captured up to 72 hours before booking also qualifies. We refund the eligible difference between that channel and Rove at the same comparison time to your original payment method, not as travel credit. General price drops are excluded. The refund is limited under Section 1.7 and may be less than the difference between your original booking price and the competing price. Comparisons use Rove’s bank transfer or debit card price and exclude credit card processing fees, regardless of how you paid. Paid memberships, corporate rates, and packages do not qualify. Full eligibility and calculation rules: rovetravel.com/promotional-programs."
Credit card payments (shown with the credit card price when a Guest selects credit card): "Rove Travel Price-Match Program pricing is based on payment by bank transfer or debit card. Paying by credit card adds a [X]% processing fee, shown above, which is not included in Program comparisons or refunds."
Unenrolled stays: "This stay is not covered by the Rove Travel Price-Match Program."
Despite the algorithm and methods Rove will employ to ensure that they do, in fact, offer the best price there is risk associated with the “Best Price” claim especially since the purpose of the program is that if you do not have the best price you will reimburse the customer. This functionality implies that it is possible - though unlikely - that you may not actually have the best price. The FTC and BBB have indicated that in quickly changing industries like travel “Best Price” claims are difficult to substantiate and should be avoided. An easy way to reduce risk is to change the name of the program (though leave the language around it that says “we have this system that helps us ensure we have the best price, in the off chance we miss something we will refund you.”).
[BZ2]When marketing, mark with something to the tune of “please read all terms and conditions thoroughly - exclusions apply.
[C3]Credit card processing fee. The Program compares the bank transfer or debit card price; the credit card fee is excluded from comparisons and refunds. Confirmed by Rove: no fee on debit cards; the credit card price and fee are shown when a Guest selects credit card. Counsel to confirm: (1) a guest paid credit card fee is a surcharge under card network rules and state law regardless of its label, so confirm cap, acquirer notice, and receipt disclosure; (2) state rules in our markets, including New York GBL 518 (credit card price display) and Colorado limits, and any state that bans surcharges for guests located there; (3) treatment of payment method fees under the FTC junk fee rule (16 C.F.R. Part 464) and California SB 478; (4) whether the lowest cost claim needs a bank transfer or debit qualifier in the ad itself. Ops/Finance: insert the fee percentage.
I believe this is still confusing. How can we better explain to customers that a general price decrease is excluded?
D6 — Opt-out and enrollment design. This revision preserves bookability and reflects Jonah’s Andora-disconnection / calendar-only exception. It retains the original five-business-day processing rule. Confirm operational feasibility, the exact effective-time trigger, and whether mandatory enrollment is permissible under the applicable agreements and law. No legal requirement for an opt-out has been established. Confirm historical enrollment tracking and website disclosures before launch.
I am not aware of any law prohibiting mandatory enrollment. Pursuant to your current contracts, you may need to give hosts adequate notice or consent opportunities (depending on what your agreements require) prior to launching all properties on the program unless they opt out.
We believe these revisions will help reduce litigation risk. However, if the rate-parity, pricing restrictions, and most-favored-nation (MFN) provisions remain in place, material risk will remain, and we cannot provide assurance that the Program will not be challenged in a lawsuit or enforcement action. To remove all risk, we believe you would have to forego the price parity/MFN provisions of your program.
D6 — Sheridan to confirm OTA contractual restrictions, host certification, notice and acceptance requirements, and consistency with signed management agreements. Do not infer a legal opt-out requirement from the original drafting suggestion. Rove’s published master Terms Section 51 generally provides 30 days for material changes to existing users and protects earlier bookings absent affirmative consent: https://www.rovetravel.com/s/terms-of-service
There is no way to know what the Hosts agreements with other platforms say. We can however explicitly state that we are in no way requiring hosts to breach their other agreements by implementation of this contract. Hosts remain responsible for confirming their contractual obligations and duties to third parties. For example: “Neither party is required by the Program to breach an applicable third-party agreement. Each party remains responsible for its own contractual obligations. The parties will address an identified conflict without directing Host to restrict lawful discounting; accrued Guest benefits remain payable.”
Should you keep “Best Price” in the name of the program, monthly is likely not frequent enough.
D1 — The original deemed-admission rule for three-business-day host silence remains UNCHANGED pending the cost-allocation decision. Recommendation: decide from available evidence; do not treat silence alone as proof of causation or liability. D3 — Monthly audits are now records retained by the host and requested when an issue arises, not monthly submissions. Define a practical audit sample and confirm who performs reviews for Rove-managed properties; proposed internal owner is Revenue, with Ops routing issues.
D5 — The existing Auto-Adjustment authority is retained, not approved by this revision. Confirm notification, revenue floors, affected dates, rollback triggers, and safeguards against repeatedly redistributing a reduced rate into an OTA promotion. Verify what monitoring and historical total-price reconstruction actually exist. New enrollment-record requirements describe work needed, not implemented functionality.
Similar to comment above – there is risk here from an FTC and anti-trust perspective by having control over your Hosts pricing. Are there other methods that you could use to ensure pricing stays “best” without adjusting independently?
You will likely get some push back on this from your Hosts. Consider a more balanced method of determining who is responsible for issuing the refund to customers.
D1 — ORIGINAL COST ALLOCATION RETAINED PENDING DECISION. This still charges hosts for OTA-funded discounts, ordinary sync delays, and other causes except narrowly defined Rove Error. Recommendation: charge only for documented host-caused parity breaches and fund other eligible claims through Rove. Confirm mixed/unknown causes, notice before deductions, owner review and correction procedures, and alignment with the silence rule in 13.7.2. Guest refunds must continue independently.
Consider clarifying, see below.
D4 — Guest coverage still includes the host’s direct website, while the host parity covenant applies to Rove-Distributed OTAs. This revision removes the inaccurate assertion that the covenant covers every Covered Channel. Jonah must decide whether to extend the host covenant or have Rove fund valid claims outside it. Adding an obligation to owner-direct sites has not been assumed.
Clearly communicate this requirement to hosts.
Are these the only platforms your listings might appear on?
[BZ20]Consider tightening this window as discussed via Teams to minimize the confusion regarding the “general pricing decrease” exclusion (and overall likelihood of having to issue a refund). Consider limiting to a claim being submitting within 48-72 hours of booking.
D2 — Prebooking evidence uses the existing 72-hour deadline measured from evidence capture, with the reservation confirmed before claim submission. No separate 30-minute or 24-hour restriction has been selected. If Jonah wants a tighter prebooking window, that is a further policy change. Valid postbooking observations before check-in remain eligible. Confirm that the existing 72-hour submission period may extend past check-in where evidence was captured beforehand.
Maybe resolving this confusion its as simple as saying: Your refund will be calculated by comparing the price on the Covered Channel to the Booking Site on the date you identified the price difference. Any price decreases reflected on the Booking Site will not be included in the Price Match Refund.
Implementation dependency — Retain same-time Rove total-price inputs and evidence of actual competing bookability. A reconstructed Rove price for dates blocked by the guest’s own booking is not evidence that another channel was bookable. Choose one exchange-rate source and consistent timestamp/time-zone handling before launch.
Applied — The $6,000 / $5,000 / $4,900 example now yields $100, and overlapping claims are not added together. The original cap based on the guest’s paid-price difference is preserved as an additional limit. D7 — Credit-first, cash-on-request is retained; changing the default to cash is subjective and pending. D8 — Finance must define fee/tax adjustments, treatment of cancellations and other refunds, partial credit use, and owner statement entries before implementation.
CASH REFUND REVISION — The new text supersedes the earlier credit-first proposal: approved claims receive money, without an election or future purchase, and no two-year credit expiry applies now that we are offering cash. If you plan to provide Hosts with additional information on the program consider including logistics about how you will recoup that cost from them.
D8 — Five business days remains an aim, not a new contractual guarantee. Confirm internal reminder timing, escalation ownership, review timing, and refund issuance targets. The document does not create a new claim form; email remains available and a form is referenced only if available. Align the guest review route with existing master terms.
Fee evidence — Patrick supplied Rove’s 12% rate. Airbnb’s help page, checked September 30, 2026, says most single-fee hosts pay 15.5% deducted from payout: https://www.airbnb.com/help/article/1857 . These are fee percentages on potentially different bases, not proof of a particular checkout saving. Verify Andora’s channel adjustments and applicable rates before publishing this comparison; do not extend it to all Covered Channels.
The Rove fee and AirBnB fee are distinguishable enough that I would recommend against making these claims.
Marketing and implementation — Copy is proposed for review, not legal approval. The $100 policy reimburses a same-time channel shortfall and does not reprice a $6,000 earlier booking to a later $4,900 price. Show the correct enrollment status near the price before payment and in the confirmation; program badges must be limited to eligible stays. Prebooking evidence uses the same 72-hour submission period. Confirm substantiation with Sheridan before launch.
